UBUNC Assure is a trading name of UBUNC™, a registered company in England and Wales. We provide premium commercial cleaning, facilities support and operational assurance services.

2. Use of Our Website

2.1 Permitted Use

You may use our website for lawful purposes only. You must not use this website in any way that:

• Breaches any applicable local, national or international law or regulation
• Is fraudulent, false or misleading
• Transmits unsolicited commercial communications (spam)
• Attempts to gain unauthorised access to any part of our website or its related systems
• Introduces viruses, trojans, worms, or other malicious or harmful material

2.2 Intellectual Property

All content on this website — including text, graphics, logos, the UBUNC Assure Contract Health Check™ tool, design, code and branding — is the intellectual property of UBUNC™ and is protected by copyright and trademark law. UBUNC is a registered trademark. You may not reproduce, distribute or create derivative works from any content on this site without our express written permission.

2.3 Website Availability

We aim to keep our website available at all times but do not guarantee uninterrupted access. We reserve the right to suspend or withdraw access to our website without notice for operational, security or legal reasons.

3. Our Services

3.1 Quotations

All quotations provided via our website, by email or by telephone are valid for 30 days from the date of issue unless otherwise stated. A quotation does not constitute a binding contract. A contract is formed only when we provide written confirmation of your accepted quotation.

3.2 Service Agreements

Commercial cleaning and facilities service contracts are governed by a separate Service Agreement which will be provided to you prior to the commencement of services. In the event of any conflict between these Terms & Conditions and a signed Service Agreement, the Service Agreement shall take precedence.

3.3 Service Standards

We are committed to delivering services to the standard agreed in your Service Agreement. Where any aspect of service delivery falls below the agreed standard, you must notify us in writing within 24 hours so we can investigate and rectify the issue promptly.

3.4 Changes to Services

We reserve the right to amend the scope, frequency or personnel assigned to your services in accordance with operational requirements, provided we give you reasonable prior notice and the overall service standard is maintained.

4. Payment Terms

Unless otherwise agreed in a Service Agreement:

• Invoices are issued monthly in advance
• Payment is due within 14 days of the invoice date
• Late payments may attract interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998
• We reserve the right to suspend services where invoices remain unpaid beyond 30 days

5. Cancellation and Termination

Either party may terminate a Service Agreement by giving the notice period specified in that agreement (typically 30 days in writing). Early termination by the client without cause may result in a cancellation fee as specified in the Service Agreement.

We reserve the right to terminate services immediately if:

• Payment obligations are not met
• Our staff are subjected to harassment, abuse or unsafe working conditions
• You breach any material term of the Service Agreement

6. Liability

6.1 Our Liability

We maintain public liability and employer's liability insurance. Our liability to you for loss or damage arising from our services is limited to the value of the service fees paid in the 3 months preceding the incident, except in cases of death, personal injury or fraud caused by our negligence.

6.2 Website Disclaimer

The information on our website is provided in good faith but is for general information purposes only. We do not warrant that the content is accurate, complete or up to date. We accept no liability for loss or damage arising from your reliance on information published on this website.

6.3 Third-Party Links

Our website may contain links to third-party websites. These are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

8. Contract Health Check™ Tool

The UBUNC Assure Contract Health Check™ is provided as a free diagnostic tool for indicative purposes only. The scores, savings estimates and recommendations generated are based on the information you provide and general industry benchmarks. They do not constitute professional advice, a formal audit, or a guaranteed assessment of your existing cleaning contract. UBUNC Assure accepts no liability for decisions made on the basis of Health Check results.

9. Governing Law

These Terms & Conditions and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to These Terms

We may update these Terms & Conditions from time to time. Material changes will be notified via our website. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
